These Terms govern access to and use of Equated’s website, software, APIs, workflows, and related tools. If you use Equated on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.
Equated provides accounting software designed for businesses, operators, and finance teams managing bank data, documents, workflows, and ledger activity. By accessing or using the Service, you agree to these Terms.
If your company has signed a master services agreement, order form, or other written agreement with Equated, that agreement controls to the extent it conflicts with these Terms.
“Equated,” “we,” “us,” and “our” means Equated.
“Service” means Equated’s website, application, APIs, workflows, automations, and related software and support services.
“Customer Data” means data, documents, records, account information, files, prompts, and other content submitted to the Service by or for you.
“Output” means suggestions, classifications, matches, drafts, automations, or other results generated by the Service, including results influenced by machine learning models or rules.
“Usage Data” means product telemetry, logs, operational metrics, and aggregated or de-identified analytics about use of the Service, excluding Customer Data in identifiable form.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate registration and contact information and keep it current.
You may authorize employees, contractors, accountants, or agents to access the Service on your behalf. You remain responsible for their use of the Service and for ensuring they have appropriate authority and training.
You retain your rights in Customer Data. You grant Equated the rights necessary to host, process, transmit, analyze, and display Customer Data solely to provide, secure, support, and improve the Service.
You represent that you have all rights, permissions, notices, and lawful bases needed to provide Customer Data to Equated and to authorize Equated to process it under these Terms, including for bank data, accounting records, uploaded documents, inbox or email-derived documents, receipts, invoices, bills, and other business records.
Equated does not use customer-submitted content to train AI models unless the customer explicitly agrees.
You are responsible for reviewing and approving accounting actions, journal entries, matches, classifications, and other Outputs before relying on them in your books, filings, operations, or reporting.
Equated may use machine learning models, workflow rules, and other automation to generate Outputs. These Outputs may be incomplete, inaccurate, or unsuitable for your specific accounting, tax, legal, or operational needs.
You must independently review Outputs before using them for bookkeeping, close, tax filings, audits, reporting, payments, or compliance decisions.
Equated is software, not an accounting firm, law firm, tax advisor, or fiduciary. The Service does not replace independent review by qualified personnel or professional advisors where appropriate.
You may not use the Service to:
The Service may rely on or connect with third-party providers such as Quiltt and its underlying provider Mastercard, MX, and other customer-enabled integrations or service providers. Your use of third-party services may also be subject to their separate terms and privacy policies.
Equated is not responsible for the availability, accuracy, or performance of third-party services, or for acts and omissions of those providers.
We will treat Customer Data as confidential and use it only as described in these Terms and our Privacy Policy. If you send us product feedback, suggestions, or ideas, we may use them without restriction or obligation to you.
Equated may use Usage Data in aggregated and de-identified form to operate, analyze, and improve the Service.
We may suspend or terminate access to the Service if we reasonably believe your use violates these Terms, creates security or legal risk, harms other users, or threatens the stability of the Service.
You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including sections relating to confidentiality, disclaimers, limitations of liability, and disputes.
The Service is provided on an “as is” and “as available” basis. Equated disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.
Equated is not responsible for inaccuracies, outages, delays, or unavailable data caused by third-party providers or customer-enabled integrations.
To the maximum extent permitted by law, Equated will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, or business opportunities arising from or related to the Service.
To the maximum extent permitted by law, Equated’s aggregate liability arising out of or relating to the Service or these Terms will not exceed the amounts paid by you to Equated for the Service during the twelve months preceding the event giving rise to the claim.
We may modify the Service and these Terms from time to time. If we make material changes, we will update the date at the top of this page and may provide additional notice where appropriate. Your continued use of the Service after the updated Terms take effect means you accept them.
